BAE SYSTEMS Appoints Two New Non-Executive Directors

The Board of BAE Systems plc has appointed Philip J. Carroll Jr. and Roberto Quarta as non-executive Directors of the Company with effect from today, 7 September 2005.

Dick Olver, Chairman of BAE Systems said, “I am extremely pleased to welcome Phil Carroll and Roberto Quarta to our Board. They are both accomplished executives with a wealth of operational and boardroom experience in managing complex international businesses. They will make a significant contribution to furthering BAE Systems’ strategy of being the premier transatlantic defence company.”

Philip Carroll is the former chairman and chief executive officer of Fluor Corporation and the former president and chief executive officer of Shell Oil Company Inc. He was appointed by the United States Department of Defense in 2003 to serve as the first Senior Advisor to the Iraqi Ministry of Oil.

Active in a variety of professional and civic organizations, Mr. Carroll serves on the boards of American Express Funds, Vulcan Materials Company and the Texas Medical Center. He previously served on the board of Scottish Power plc. He is a member of the board of the American Air Museum in Britain, the National Petroleum Council, as well as an honorary life member of the American Petroleum Institute.

Mr. Carroll, a US citizen, earned a Bachelor’s degree in physics from Loyola University in New Orleans and a Master's degree in physics from Tulane University of Louisiana.

Roberto Quarta’s management experience spans a broad range of manufacturing and service businesses with global operations. He is chairman (and was formerly chief executive) of BBA Group plc, and as a partner of the private equity firm Clayton, Dubilier & Rice he also serves as chairman of Rexel SA, one of the world’s largest electrical products distributors, and Italtel, a global provider of telecommunications network integration products and services, two of the firm’s portfolio businesses. He was previously an executive director of BTR plc and a non-executive director of PowerGen plc and Equant NV.

Based in the UK, Mr. Quarta was born in Italy and is a naturalised US citizen and served for six years in the US Army. He earned a Bachelor of Arts degree from the College of the Holy Cross in Massachusetts, where he serves on the Board of Trustees.
